BODDEN MEMORIAL CLEANING AND RESTORATION LLCHeadstone Cleaning & Restoration Service Agreement, Release, and Waiver 1. Parties This Agreement is between Bodden Memorial Cleaning and Restoration LLC (“Contractor”) and the person or entity receiving services (“Customer”). Receiving services constitutes the Customer’s electronic signature, acceptance of these terms, and authorization for Contractor to perform the agreed services. 2. Scope of Services Contractor will provide headstone cleaning and restoration services if requested by Customer. Services may include cleaning, biological remover application, mechanical cleaning, minor stabilization, and photographic documentation. Contractor does not guarantee exact results. 3. Access, Timing, and Conditions A. Customer authorizes Contractor to access the cemetery and the subject monument. Customer is responsible for any required cemetery permissions or fees unless otherwise agreed in writing. B. Environmental and cemetery rules, weather, and access restrictions may affect timing and outcomes. C. Customer must disclose known pre-existing conditions (cracks, prior repairs, unstable base, loose fragments, non-stone materials, inscriptions of particular concern). If Contractor discovers unsafe or unstable conditions, Contractor may suspend work and notify Customer. 4. Assumption of Risk and Acknowledgment of Condition Customer acknowledges monuments may be fragile, previously repaired, or made of materials (e.g., soft stone, painted surfaces, non-original finishes) that can be damaged by cleaning. Further, Customer acknowledges that Contractor cannot fully understand the strength of any stone by outward appearances. Customer assumes the risk that cleaning may cause damage or reveal deterioration. 5. Payment as Authorization and Waiver Customer agrees that submission of payment for services constitutes: A. Authorization for Contractor to perform the services described in the quote or invoice; and B. Acceptance of this Agreement, including the Release and Waiver in Section 6. 6. Release, Waiver of Liability, and Limitation of Remedies To the fullest extent permitted by law, Customer releases Contractor, its owners, employees, agents, and subcontractors from any and all claims, demands, causes of action, liabilities, losses, damages, costs, and expenses (including attorneys’ fees) arising out of or related to the performance of services, including but not limited to property damage, loss of inscription, cosmetic change, or further deterioration discovered as a result of cleaning. Customer agrees Contractor is not liable for damages caused by pre-existing conditions, cemetery operations, vandalism, weather events, or third-party conduct. Contractor’s total liability for any claim related to the services shall be limited to the amount actually paid by Customer to Contractor for the specific services giving rise to the claim. 7. Indemnification Customer will indemnify, defend and hold harmless Contractor from and against any third-party claims arising out of Customer’s breach of this Agreement, misrepresentations about the monument, or failure to obtain required cemetery permissions. 8. Photo Documentation, Before & After Contractor may take photographs before, during, and after work for documentation and promotional use unless Customer provides written notice refusing promotional use. Customer grants Contractor a non-exclusive license to use de-identified images for marketing. 10. Materials and Environmental Compliance Contractor will use cleaning agents and methods consistent with cemetery rules and applicable environmental regulations. Customer acknowledges certain chemicals may be used; if there are restrictions at the cemetery, Customer must notify Contractor prior to commencement. 11. Cancellation, Rescheduling, and Refunds If Customer cancels after work has begun, Customer is responsible for payment for work performed to date. Refunds, if any, will be at Contractor’s discretion and limited to the amount paid for the services. 12. Dispute Resolution and Governing Law This Agreement is governed by the laws of the state where Contractor is located. 13. Severability and Entire Agreement If any provision is unenforceable, the remaining provisions remain in full force. This Agreement constitutes the entire agreement between the parties and supersedes earlier communications. 14. Customer Representations Customer represents they are the owner of the monument or have legal authority from the owner to authorize and accept these services and terms.
